Its Your LLC provides business formation and related services, including but not limited to: assisting with the formation of Limited Liability Companies (LLCs) in the United States, assisting with bank account applications, obtaining Employer Identification Numbers (EINs), virtual business numbers, and facilitating Stripe account applications (collectively, the “Services”).

You understand that Its Your LLC is not a law firm or a substitute for an attorney or law firm. We do not provide legal advice, and any information provided on our website or through our Services is for informational purposes only and does not constitute legal advice.

2. User Obligations

To use our Services, you must be at least 18 years old and have the legal capacity to enter into a binding contract. You agree to provide accurate, current, and complete information as requested for the provision of our Services.

You are responsible for maintaining the confidentiality of any account information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

3. Payments and Fees

You agree to pay all fees associated with the Services you order. All fees are as set forth on our website and are subject to change. You understand that fees paid to Its Your LLC for our Services do not include any third-party fees, such as state filing fees, bank fees, or other governmental charges, which you will be responsible for.

All payments are due upon ordering the Service. We are not responsible for any delays in your business formation caused by your failure to pay the required fees.

4. Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Its Your LLC and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Its Your LLC.

5. Disclaimers and Limitation of Liability

The Service is provided on an “AS IS” and “AS AVAILABLE” basis. Your use of the Service is at your sole risk. Its Your LLC does not warrant that a) the Service will function uninterrupted, secure, or available at any particular time or location; b) any errors or defects will be corrected; or c) the results of using the Service will meet your requirements.

While we facilitate applications for bank and Stripe accounts, we do not guarantee approval. These third-party institutions have their own approval processes, and the final decision rests solely with them.

In no event shall Its Your LLC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

6. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
